Code of Conduct - Terms and Conditions of Use

LinuxVAR is a networking site for business and technical people that are interested in learning about how linux and open source software can be used to aid their activities. It allows members to create unique personal/busines profiles online in order to find and communicate with others for business relationship development.

The site is owned, sponsored and administered by Interactive Ideas Ltd.("LinuxVAR") By using the LinuxVAR Website (the "Website") you agree to be bound by these Terms of Use (this "Agreement"), whether or not you register as an End-User or LinuxVAR/ISV member ("Member"). If you wish to become a Member, communicate with other Members and make use of the LinuxVAR services (the "Service"), please read this

Agreement and indicate your acceptance by following the instructions in the Registration process. This Agreement sets out the legally binding terms for your use of the Website and your Membership in the Service. LinuxVAR may modify this Agreement from time to time and such modification shall be effective upon posting by LinuxVAR on the Website. You agree to be bound to any changes to this Agreement when you use the Service after any such modification is posted. This Agreement includes LinuxVAR's policy for  acceptable use and content posted on the Website, your rights, obligations and restrictions regarding your use of the Website and the Service and LinuxVAR's Privacy Policy. Please choose carefully the information you post on LinuxVAR and that you provide to other Members. Your LinuxVAR account profile and submissions you make may not include nudity or obscene, lewd, violent, harassing, sexually explicit or otherwise objectionable subject matter. Information provided by other LinuxVAR Members (for instance, in their Profile) may contain inaccurate, inappropriate or offensive material, products or services and LinuxVAR assumes no responsibility or liability for this material.

LinuxVAR reserves the right, in its sole discretion, to reject, refuse to post or remove any posting (including email) by you, or to restrict, suspend, or terminate your access to all or any part of the Website and/or Services at any time, for any or no reason, with or without prior notice, and without liability.  LinuxVAR reserves the right, in its sole discretion, to contact members with offers/advice from Interactive Ideas and selected 3rd parties.
 
Public areas of LinuxVAR are moderated by our Admin team. Posts to public areas that are deemed to be inappropriate, offensive or in contravention to these terms may be removed without warning. LinuxVAR will also not tolerate any form of personal attack or defamatory comment. Members who are deemed to be in contravention of these terms may have their account or posting privileges suspended.

1. ELIGIBILITY
1.1 By using the Website and the Service, you represent and warrant that all registration information you submit is truthful and accurate and that you agree to maintain the accuracy of such information. You further represent and warrant that you are 18 years of age or older and that your use of the LinuxVAR shall not violate any applicable law or regulation. You are solely responsible for all Content published or displayed through your account, including any email messages, and for your interactions with other members.

2. ACCEPTABLE USE
We insist that any use by You of the LinuxVAR site shall be in accordance with the following conditions:
2.1 You must not post or transmit through the LinuxVAR site any defamatory, threatening, obscene, harmful or pornographic material or material which would violate or infringe in any way upon the rights of others (including intellectual property rights, rights of confidentiality, or rights of privacy) or cause distress or inconvenience or which do not comply with all relevant laws.
2.2 You shall not post or otherwise make available on the LinuxVAR site any material which You do not own without the express permission of the owner of the material.
2.3 LinuxVAR requires that you register under your full name and provide accurate details of your home and/or business address together with a valid telephone number and email address. LinuxVAR requires authentic membership data so that any illegal activity can be effectively reported to the appropriate authorities. You can choose to use any username as long as it is unique on the site and is not obscene.

3. THIRD PARTY WEBSITES
3.1 You acknowledge and agree that LinuxVAR are not responsible for the availability of any third party Websites or material You access through the LinuxVAR site, and that we do not endorse and are not responsible or liable for any content, advertising, products or services on or available from such Websites or material, nor for any damage, loss or offence caused, or alleged to be caused, by or in connection with use of or reliance on any content, advertising, products or services available on or available from such Websites or material.
3.2 Any dealings between You and any advertisers or resellers, solution providers or merchants found on or via the LinuxVAR site, including payment for and delivery of products, services and any other terms, conditions, warranties or representations, associated with such dealings, are solely between You and the relevant advertiser or reseller, solution provider or merchant. You agree not to hold LinuxVAR liable for any loss or damage of any kind incurred as the result of any such dealings.
3.3 Links to third party sites may only be included in forum posts where a clear relevance to the thread in question exists. Any Users posting URLs of sites excessively or in a way which could be construed as advertising are liable to have their right to post removed.

4. INTELLECTUAL PROPERTY
4.1 All copyright, trade marks and all other intellectual property rights in all material or content supplied as part of the LinuxVAR site shall remain at all times vested in LinuxVAR.You are permitted to use this material or content only as expressly authorised in writing by LinuxVAR and may not and agree not to assist or facilitate any third party to copy, reproduce, transmit, distribute, commercially exploit or create derivative works of such material or content.
4.2 If You become aware of any such distribution or commercial exploitation, You agree to notify LinuxVAR immediately.

5. LINUXVAR'S RIGHTS
5.1 Material which is posted on any weblog or forums is written by Users and We are not responsible for and give no endorsement of such material. We monitor the contributions and may respond to or comment upon communications by You and edit, refuse to post or remove any content from the weblogs and forums in our absolute discretion. No failure to remove particular material constitutes an endorsement or acceptance of it by LinuxVAR.
5.2 To the extent permitted by law, We make no warranties, express or implied, as to the content of the LinuxVAR site or the accuracy, timing or reliability of any information or statements contained therein, or statements, advice and opinions given by Users on the weblogs and chat forums which are those of such Users only. We neither endorse nor shall be held responsible for the reliability or accuracy of the same and We are not responsible in any way for any injury, loss or damage which occurs as a result of an  opinion expressed or information provided on the LinuxVAR. If You have any claim arising from the actions or statements of another User, You agree to pursue such a claim only against that User and not against LinuxVAR.
5.3 Under the Data Protection Act, LinuxVAR is obliged to reveal the full details of one member to another, if requested during consideration of any potential libel action.
5.4 We will endeavour to provide the LinuxVAR site using all reasonable care. To the extent permitted by law, We exclude all implied warranties as to quality, accuracy or fitness and We do not warrant that the material contained in the LinuxVAR site, any of the functions contained in the LinuxVAR site and the server will operate without interruption or delay or will be error free, free of viruses or bugs or is compatible with any other software or material.
5.5 We reserve the right, at any time, to modify, alter, or update these terms and conditions of use, and You agree to be bound by any such modifications, alterations or updates which are posted on the LinuxVAR site.
5.6 We shall not be liable in contract, tort, negligence or otherwise for any loss or damage whatsoever in any way connected with Your use of the LinuxVAR site, whether direct or indirect, including, damage to software or hardware, damage for loss of business, loss of profits, or any other consequential loss. Nothing in these terms or conditions shall exclude or limit Our liability for death or personal injury resulting from the negligence of LinuxVAR, our servants, agents or employees.

6. PRIVACY
6.1 We shall comply with applicable UK Data Protection and other legislation from time to time in place in respect of any personal information relating to You gathered by LinuxVAR.
6.2 These Terms and Conditions should be considered in conjunction with Our Privacy Policy, which sets out further information about our use of User Information.

7. SAFETY
When using the LinuxVAR site, in particular any weblogs or chat forums, You should always take the following precautions:
7.1 do not divulge personal information unless you are comfortable doing so.
7.2 Member Disputes. You are solely responsible for your interactions with other LinuxVAR Members. LinuxVAR reserves the right, but has no obligation, to monitor disputes between you and other Members.

8. INDEMNITY
8.1 You agree to indemnify LinuxVAR, and/or any of Our affiliates and Our and their officers, directors and employees, immediately on demand, against all claims, liability, damages, costs and expenses, including legal fees, arising out of any breach of these terms and conditions by You or any other liabilities arising out of Your use of the LinuxVAR site.

9. TERMINATION
9.1 We shall have the right immediately to terminate Your use of the LinuxVAR site if We determine in our sole discretion that You have breached these terms and conditions or otherwise been engaged in conduct which We determine in our sole discretion to be unacceptable.

11. GENERAL
11.1 Invalidity
If any of these terms and conditions are determined to be invalid or otherwise unenforceable by reason of the application of any law, such provisions shall be severed and deleted from these terms and conditions and the remainder of these terms and conditions shall continue to have full force and effect.
11.2 Governing Law
These terms and conditions are governed by English law and both You and LinuxVAR hereby submit to the non-exclusive jurisdiction of the English courts.

12. LIMITATION ON LIABILITY
IN NO EVENT SHALL LINUXVAR BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL,

EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT DAMAGES ARISING FROM YOUR USE OF THE WEB SITE OR THE SERVICE, EVEN IF LINUXVAR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, LINUXVAR'S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO AMOUNT PAID, IF ANY, BY YOU TO LINUXVAR FOR THE SERVICE DURING THE TERM OF MEMBERSHIP.
